11.1. Confidentiality and Non-Disclosure

In the course of our engagement with clients, both parties may exchange confidential business information, including but not limited to technical documentation, strategies, proprietary data, client lists, and internal communications ("Confidential Information").

We are fully committed to maintaining the confidentiality of all such information and:

  • Will not disclose Confidential Information to any third party without prior written consent, unless required by law

  • Will use Confidential Information solely for the purpose of fulfilling our contractual obligations

  • Will ensure that all employees, contractors, and partners with access to such information are bound by equivalent confidentiality obligations

We are open to signing mutual or unilateral Non-Disclosure Agreements (NDAs) upon request and recommend the execution of such agreements prior to the exchange of sensitive information.

11.2. DATA PROCESSING AGREEMENTS (DPAs)

If we process any personal data on behalf of a client as part of our services (e.g., in cloud migrations, platform administration, analytics integrations), we are willing to execute a Data Processing Agreement (DPA) to comply with applicable U.S. data protection laws or contractual standards.

Our standard DPA includes terms regarding:

  • Scope and duration of data processing

  • Categories of data and purposes of processing

  • Security measures and audit rights

  • Subprocessor transparency and obligations

  • Data breach notification procedures

  • Return or deletion of data upon termination of services
